OEMS, contract manufacturers, and components suppliers are faced with tight margins, aggressive deadlines, and pressures to keep liabilities to a minimum. That is why many companies have decided to capture and document the details of their working relationship in a contract.

Most contracts, however, lack the “practical” substance that makes them useful for the operational personnel who execute them. Created and implemented correctly, these agreements must outline key business and legal parameters that drive the right behaviors, define accountabilities, and ensure that both sides take the right steps to mitigate the risks in the extended electronics supply chain.

This 90-minute online workshop, "Creating Robust Supply Agreements” is designed to walk you through important business and legal issues that you should discuss and formalize in your relationships with both your contract manufacturers AND your strategic component suppliers. In this session, we will not only discuss key terms and their impact on your business, but also offer you some suggestions based on industry best practices.

You will learn about:

Structure your negotiations with suppliers for optimal results

Define material liabilities for both parties and keep your inventory exposure to a minimum

Understand each party’s obligations on warranties, epidemic failures, RoHS/WEEE compliance, forecast management, indemnities, and ECO (engineering change order) management

Outline your post-termination expectations in terms of tooling transfer, inventory liability, and on-going supply of product

Establish guidelines for managing cost, PPV (purchase price variance), and material cost increases/decreases

Finance and Operations professionals throughout the supply chain (OEMs, contract manufacturers, component and raw material suppliers) who are involved in negotiating or executing the terms of a supply agreement.

This is an interactive online workshop that you can attend from the comforts of your own office. The slides are presented on WebEx and you can call into the audio portion on a conference call. You will receive a copy of the slides and the end of the session is available for Q & A.

ABOUT THE INSTRUCTOR:

Bijan Dastmalchi
Symphony Consulting

Bijan Dastmalchi is a principal at Symphony Consulting, Inc. (www.symphonyconsult.com), an outsourcing and supply chain consulting company located in Sunnyvale, California. Bijan has more than 15 years of experience in outsourcing, strategic procurement, supply chain, and materials management, with extensive experience with managing EMS relationships. Bijan spent seven years at Hewlett-Packard in a number of management and leadership roles in supply chain management. In his last assignment at HP, his organization was responsible for over $300M annual purchases in mass storage products for HP's Network Server Division.

Bijan has also worked at Trimble Navigation, two start-ups, and prior to starting Symphony Consulting, was Director of Semiconductor Procurement at Solectron Corporation's Global Supply Management, overseeing an organization responsible for over $1B in annual purchases.

Bijan holds a BS in Mechanical Engineering from the University of California, Berkeley, and an MBA from Santa Clara University. He is a member of the faculty at the University of Phoenix and teaches MBA courses in Global Management.
